Welcome to REPS Audit Ready (“Service”), operated by Lightning Kite LLC (“Company,” “we,” “our,” or “us”). By accessing or using our website at https://repsauditready.com or related applications, you agree to these Terms of Service (“Terms”). If you do not agree, please do not use our Service.
You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement and have the authority to enter into these Terms.
You agree to provide accurate, complete information and maintain the security of your credentials. You are responsible for all activities under your account.
The Service may require a paid subscription. By subscribing, you agree to pay all applicable fees. The Company reserves the right to change its pricing and fees at any time, with notice provided to current subscribers. Fees are non-refundable unless otherwise stated.
The Service may collect location data, including travel routes and duration, to help log qualifying tasks and travel time. By using the Service, you consent to this collection. See our Privacy Policy for details.
The Service supports organizational structures where multiple users’ data may be linked for visibility (e.g., a company, team, or group). The organizational account administrator may access activity logs of linked users. The administrator is responsible for obtaining all necessary consent and complying with applicable privacy laws.
The Service allows users to upload supporting documentation, such as receipts, contracts, or images, to strengthen activity logs. You retain ownership of your uploaded content, but grant us a license to store and display it within the Service for your use. You are solely responsible for ensuring the accuracy, legality, and appropriateness of all uploaded content.
You retain rights to your data unless forfeited by non-payment of ongoing subscription costs. If your subscription lapses, we may delete or restrict access to your data after 30 days. We comply with applicable U.S. federal and state data privacy laws, including honoring requests for data deletion or export.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for its intended purpose. You may not copy, distribute, reverse-engineer, or create derivative works from the Service without written permission.
The Service is a journaling and record-keeping tool designed to assist users in organizing data relevant to Real Estate Professional Status (REPS) and related tax reporting. We do not guarantee IRS compliance or audit readiness. Use of the Service is at your own risk.
The Service and all related content are provided “AS IS” and “AS AVAILABLE” without any warranties of any kind, express or implied, including but not limited to merchantability or fitness for a particular purpose.
We may suspend or terminate your access if you violate these Terms. In case of breach, you will have 15 business days after written notice to cure the violation. If uncured, termination is effective immediately thereafter.
Our total liability to you for any claim arising from the Service is limited to the amount you paid us in fees during the 12 months preceding the claim or the last tax year, whichever is shorter. We are not liable for indirect, incidental, or consequential damages, including tax penalties or lost profits.
You agree to indemnify and hold harmless Lightning Kite LLC and its affiliates from claims, damages, or expenses arising from your use of the Service or violation of these Terms.
These Terms are governed by the laws of the State of Wyoming, without regard to conflicts of law principles.
We may update these Terms periodically. Continued use constitutes acceptance of changes.
